Terms of Service

Please review these terms before using the DevGrizzly website and developer tools.

1. Acceptance of these Terms

These Terms of Service (“Terms”) govern your use of devgrizzly.com, DB Developer Tools (a product by DevGrizzly), and any future DevGrizzly tool that expressly references these Terms (collectively, the “Service”). By installing, accessing, or using the Service, you agree to these Terms and our Privacy Policy.

If you do not agree, do not use the Service. If you use the Service for an organization, you represent that you have authority to bind that organization to these Terms.

2. The Service

DB Developer Tools is a Google Sheets developer utility that helps generate SQL, DDL, Java VO, MyBatis, and similar development code from structured cell information you select in Google Sheets. Supported database targets include Oracle, PostgreSQL, SQL Server, and MySQL.

The Service is a development aid. It does not guarantee that generated output is complete, error-free, or suitable for a particular database version, coding standard, security requirement, or purpose. You are responsible for reviewing and testing output before running or deploying it.

3. Eligibility and accounts

You must be able to form a legally binding agreement in your jurisdiction and be authorized to use the Google Account through which you access the Service. Your organization’s administrator may restrict installation of or access to Google Workspace Marketplace apps. You are responsible for maintaining the security of your Google Account and for Service activity under it.

4. Google permissions and user data

The Service may request Google OAuth or Apps Script permissions needed to provide the features you invoke. Requested permissions are shown on Google’s consent screen. You can choose whether to grant them, but refusing or revoking a required permission may prevent some or all features from working.

Selected cells are processed transiently in your browser or the Google Apps Script environment to generate code and are not sent to or stored on an external DevGrizzly server. Our handling of data, including access, use, storage, and sharing, is described in the Privacy Policy.

5. Limited right to use the Service

Subject to these Terms, DevGrizzly gives you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal personal or business purposes. This right does not transfer ownership of the Service to you.

6. Acceptable use

You agree not to:

  • use the Service unlawfully or to violate another person’s rights;
  • interfere with or bypass the security, integrity, or performance of the Service or related systems;
  • transmit malware, destructive data, or unauthorized automated requests through the Service;
  • attempt to reverse engineer or extract source code or non-public components, except where applicable law expressly permits it;
  • misrepresent the source, affiliation, or endorsement of the Service or the DevGrizzly name and logo; or
  • submit third-party personal data, confidential information, or intellectual property unless you have authority to process it.

7. Your content and generated output

You retain all rights in your spreadsheet content. You represent that you have the right to process that content as needed to use the Service. DevGrizzly does not claim ownership of your selected cells.

As between you and DevGrizzly, you may use and modify output generated from your input to the extent permitted by law. Because common code patterns can be similar, the Service may generate identical or similar output for others. DevGrizzly does not warrant that output is free of third-party rights or licensing obligations; you are responsible for reviewing it.

8. Third-party services

The Service relies on Google services, including Google Sheets, Google Workspace Marketplace, and Google Apps Script. Your use of Google services is separately governed by Google’s terms and policies. DevGrizzly does not control the availability, modification, or discontinuation of services provided by Google.

Google Sheets is a trademark of Google LLC. DevGrizzly is independently developed and is not affiliated with or endorsed by Google.

9. Fees and changes

Some features may be offered at no charge. If we introduce paid features, we will clearly display pricing and applicable terms and obtain your express agreement before charging you. We may add, change, or discontinue Service features and will provide reasonable advance notice of material changes where practicable.

10. Intellectual property and feedback

DevGrizzly and its licensors retain rights in the Service, website, DevGrizzly brand, designs, documentation, and related software. These Terms grant no rights except the limited right to use the Service described above. If you send feedback, DevGrizzly may use it to improve the Service without an obligation of confidentiality. Personal information included in feedback remains subject to the Privacy Policy.

11. Termination and suspension

You may stop using the Service at any time by uninstalling the add-on and revoking permissions in your Google Account. DevGrizzly may limit or suspend access if you materially violate these Terms, create a security or legal risk, or if required by law or a platform provider.

Terms that by their nature should survive termination—including ownership, responsibility for generated output, warranty disclaimers, limits on liability, and dispute provisions—will continue to apply.

12. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available.” DevGrizzly disclaims express and implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and accuracy. In particular, we do not warrant that generated code will be error-free, secure, or compatible with every environment.

13. Limitation of liability

To the maximum extent permitted by law, DevGrizzly will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption arising from use of or inability to use the Service, generated code, or data loss.

DevGrizzly’s total liability for all claims relating to the Service will not exceed the greater of the amount you paid for the applicable Service in the 12 months before the claim arose or USD $50. Some jurisdictions do not allow certain limitations, so these limits apply only to the extent permitted by law. Nothing in these Terms limits non-waivable consumer rights.

14. Governing law and disputes

Unless mandatory consumer law provides otherwise, these Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law rules. Before filing a claim, we each agree to try in good faith to resolve the dispute by contacting support@devgrizzly.com. Unresolved disputes will be submitted to a court of competent jurisdiction in the Republic of Korea.

15. Changes and general terms

We may revise these Terms as the Service or law changes. Material updates will be identified by a revised “Last updated” date and additional notice where appropriate. Continued use after an update constitutes acceptance, except where law requires separate consent.

If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our prior written consent.
